SEBI Simplifies Framework for Transmission of Securities

Overview: SEBI’s updated circular introduces higher monetary limits for simplified documentation, allowing demat holdings up to ₹30 lakh and physical shares up to ₹10 lakh to be transferred without a court-issued succession certificate. A dedicated Quick Transmission Processing (QTP) route further accelerates low-value claims for immediate relatives through minimal compliance friction. To curb procedural delays, intermediaries – including Registrars, Asset Management Companies, and Depositories – are now bound to resolve all complete requests within 21 calendar days

To enhance investor convenience and promote ease of doing business, the Securities and Exchange Board of India (SEBI) issued a circular (HO/38/13/11(14)2026-MIRSD-POD/I/17111/2026) introducing a standardised, risk-based framework for the transmission of securities following the death of a holder.

Consequently, these updates ease operational overhead for market entities while delivering a far more compassionate, efficient recovery process for investors’ families.

Key Highlights of the New Guidelines

  • Quick Transmission Processing (QTP): A new fast-track route for low-value claims – up to ₹10,000 for physical shares and ₹30,000 for dematerialised holdings  – available exclusively to immediate family members.
  • Higher Simplified Documentation Thresholds: The limit for transferring shares without formal legal representation (such as succession certificates) is increased to ₹10 lakh for physical mode and ₹30 lakh for demat accounts.
  • Streamlined Documentation: Removal of mandatory probate of wills, consolidation of separate affidavits and NOCs into a single Affidavit-cum-NOC, and acceptance of QR code-enabled death certificates.
  • Strict Turnaround Time: Registrars, Transfer Agents (RTAs), and Depositories must process complete requests within 21 calendar days.
