Overview: Planning to register a Private Limited Company in India but not sure how much time the process takes?

The incorporation process is now conducted online through the MCA V3 portal using the SPICe+ framework and linked forms. In normal circumstances, where documents are submitted correctly and there are no major queries or resubmissions, the practical timeline for Private Limited Company Registration can be around 7 to 10 working days.

However, this is an estimated timeline and not a statutory guarantee. The actual time may vary depending on the completeness of documents, name approval, clarifications or resubmissions, and the processing time at the Ministry of Corporate Affairs (MCA).

The following timeline explains how the incorporation process is generally structured.

Documentation and Digital Signature – Day 1 to Day 2

The first stage involves collecting and verifying the required information and documents of the proposed directors and subscribers.

These generally include PAN, identity proof, address proof, photographs and other KYC details. Proof relating to the proposed registered office may also be required, such as an address document and, where applicable, the owner’s No Objection Certificate (NOC).

After the required details are collected, the proposed signatories obtain a Class 3 Digital Signature Certificate (DSC), which is used for digitally signing incorporation documents and forms. The DSC process involves identity verification and electronic authentication. Estimated Timeline: 1–2 Working Days

The actual time can depend on how quickly the promoters provide documents and complete the required verification.

Company Name Selection and Reservation – Day 2 to Day 4

Once the basic documentation is ready, the next important stage is selecting an appropriate company name.

The proposed name must comply with the Companies Act, 2013 and the Companies (Incorporation) Rules, 2014, and should not conflict with existing company names or relevant trademarks.

For a new company, the name can be submitted through SPICe+ Part A. When Part A is filed separately for name reservation, up to two names can be proposed, and one approved name is generally reserved for 20 days from the date of approval. If Part A and the complete incorporation application are filed together, the name-selection process works differently, with only one name available in that integrated application.

The name application is examined by the Central Registration Centre (CRC). If the proposed name satisfies the applicable requirements, it is approved and reserved for the prescribed period.

Estimated Timeline: Day 2–4

A name may take longer to finalise if it is similar to an existing company, LLP or trademark, or if the proposed name does not satisfy the applicable naming rules.

Preparation and Filing of Incorporation Documents – Day 4 to Day 7

After the name is approved, the next stage is to prepare and file the company’s incorporation documents.

The primary constitutional documents are the Memorandum of Association (MoA) and Articles of Association (AoA).

The MoA sets out the company’s fundamental details and objects, while the AoA contains the rules governing the company’s internal management.

The incorporation application is submitted through SPICe+ Part B, along with applicable linked forms and documents. These may include e-MoA, e-AoA, INC-9 and AGILE-PRO-S, depending on the circumstances of the incorporation.

MCA’s SPICe+ framework also allows DIN applications for up to three proposed directors who do not already have a DIN, subject to the applicable requirements.

The linked AGILE-PRO-S application can cover services such as GSTIN, EPFO and ESIC registration, certain state-level Professional Tax registrations, bank-account opening and applicable Shops and Establishment registration.

Estimated Timeline: Day 4–7

This stage can take longer where documentation is incomplete, signatures are incorrect, information does not match supporting documents, or additional clarification is required.

MCA Review and Certificate of Incorporation – Day 7 to Day 10

Once the complete incorporation application has been submitted, it is examined by the relevant MCA processing mechanism.

The Registrar reviews the information and supporting documents submitted with the application. If the application satisfies the applicable requirements and no clarification or resubmission is required, the company is incorporated.

The Registrar then issues the Certificate of Incorporation (COI). Under Section 7 of the Companies Act, 2013, the Certificate of Incorporation confirms the incorporation of the company, and the company is allotted a Corporate Identity Number (CIN).

The incorporation process also provides for the issue of the company’s PAN and TAN through the integrated incorporation system.

The CIN is a unique 21-character alphanumeric identity of the company and is included in the Certificate of Incorporation.

Estimated Timeline: Day 7–10

The final stage is dependent on MCA processing and whether the application is accepted without requiring corrections or resubmission.

Why Can Private Limited Company Registration Take Longer?

Although a normal incorporation may be completed within the estimated 7–10 working day window, the actual timeline can vary.

Common factors that may cause delays include:

Incorrect or incomplete documents: Differences between the information provided in the application and supporting documents can lead to queries or resubmission.

Company name issues: A proposed name that is similar to an existing company, LLP or trademark may require a new name to be proposed.

Registered office documentation: Issues with address proof, ownership documents or the owner’s NOC can delay the application.

Application errors: Incorrect information in SPICe+ or linked forms can result in the need for corrections or resubmission.

MCA/CRC processing: Processing time can vary depending on the workload and other operational factors at the MCA.

MCA has stated that name reservation and incorporation applications handled by the Central Registration Centre are processed through a centralised, faceless and randomised system, which also means applicants should not treat a fixed processing period as guaranteed.

What Happens After the Certificate of Incorporation?

Receiving the Certificate of Incorporation marks the completion of the incorporation process, but it does not mean that all company compliance obligations are over.

A newly incorporated company has several post-incorporation compliances to complete under the Companies Act, 2013.

These may include convening the first Board Meeting, appointment of the first auditor, issuing share certificates and completing other applicable statutory requirements.

One important compliance is the declaration for commencement of business under Form INC-20A, where applicable. The prescribed declaration is required within the statutory period after incorporation and involves confirmation regarding the subscription money received by the company.

Conclusion

The Private Limited Company registration process in India is fully online and can generally take around 7–10 working days under normal circumstances, provided the required documents are complete and there are no major queries or resubmissions.

From KYC and DSC to name reservation, incorporation filing and the Certificate of Incorporation, each stage plays an important role in completing the registration smoothly.

Planning the documentation and company name in advance can help reduce avoidable delays. Once the company is incorporated, the focus then shifts to completing the applicable post-incorporation and ongoing ROC compliances.
