Automatic Route (FDI)

The automatic route is the entry route for foreign direct investment (FDI) that needs no prior approval of the Reserve Bank of India (RBI) or the Central Government, as defined in paragraph 3(a)(i) of Schedule I to the Foreign Exchange Management (Non-debt Instruments) Rules, 2019 (NDI Rules). The investor invests first, and the Indian company reports the investment to the RBI afterwards.

Definition

No application is made, but the sectoral cap, pricing rules and sector conditions still apply. Under paragraph 3(b)(iii) of Schedule I, any sector the Schedule neither lists nor prohibits is open up to 100% on this route, except financial services outside serial F of its table. The government route is the counterpart that needs approval first.

Governing Provision

The Ministry of Finance notified the NDI Rules under the Foreign Exchange Management Act, 1999 as S.O. 3732(E) dated 17 October 2019. The Department for Promotion of Industry and Internal Trade (DPIIT) restates the routes in the Consolidated FDI Policy Circular of 2020, and the RBI in its Master Direction on Foreign Investment in India, updated to 15 June 2026.

Key Features

Four limits apply even though no approval is sought:

  • The sectoral cap is a composite limit that counts indirect foreign investment (Rule 2(am)).
  • A sector can split; defence is automatic up to 74% and government route beyond (FDI Policy para 5.2.6.1).
  • Rule 6(a), as substituted from 2 May 2026, closes the route to investors linked to a land-border country.
  • Each issue of equity instruments is reported in Form FC-GPR within 30 days (Regulation 4(1), FEMA 395/2019-RB).
