Process of the Change of Registered Office Address

STEP 1 – New Address To Be Identified
The process starts with the identification of a new address for the registered address of the company in compliance with Local Land Rules.
STEP 2 – Execute Rent/Lease Agreement With Landlord
The new premises should be occupied by the company only after proper document is executed, such as Sale deed or Rent Agreement.
STEP 3 – Obtain NOC From The Address Owner

STEP 4 – Board Meeting To Pass Resolutions
In the properly convened meeting of the Board of Directors adopt a Board Resolution for Change of the Registered Address with simple majority.
STEP 5 – Intimate ROC By Filing INC-22
The change of the registered address must be intimated within 30 days of the date of effective change of registered address by filing Form INC-22.
STEP 6 – Change In All Stationary & Sign Board
After the registered address is changed the company must make changes in all its signboards, marketing material.

The answer depends on case to case. In case the change of registered office is within the same city then this is the easiest method. However while changing from one state to another it shall require approval of the regional director of the company.
The change in the ROC has to be intimated to the registrar of companies by filing form INC-22, with which supporting document in the form of the ownership papers/Rent agreement and NOC from the powner is attached. The Form INC-22 must be attested by a practicing Chartered Accountant or Company Secretary or a Cost and Management Accountant.
For change in the registered office of the company within the same city there is no requirement of any prior approval from the central government, however the board of directors must approve such changes and the company should file Form INC-22. However in case the shifting of the registered office is from one state to another then prior approval of the regional director having jurisdiction is required.
